Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ZeroedIQ mobile application, website, and related services (collectively, the "Service") operated by Signet Ventures LLC ("we," "us," or "our").

By accessing or using ZeroedIQ, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, downloading the app, or using any part of the Service, you confirm that you are at least 18 years of age and that you accept and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted within the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the app or via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Account Registration

• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at david@zeroediq.com if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscriptions and Payments

3.1 Free Trial

New users receive a 14-day free trial and 10 free sessions (whichever expires last). After the trial period ends and free sessions are exhausted, a paid subscription is required to access premium features.

3.2 Subscription Plans

• ZeroedIQ Pro Monthly: $9.99 per month
• ZeroedIQ Pro Annual: $69.99 per year

Prices are subject to change. We will provide notice of price changes before they take effect for existing subscribers.

3.3 Billing

Subscription payments are processed by Stripe. By subscribing, you authorize us to charge your selected payment method on a recurring basis. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

3.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access to premium features through the end of your current billing period. Refunds are handled in accordance with the policies of your platform (Apple App Store, Google Play) or our payment processor (Stripe).

3.5 Subscription Pause

As an alternative to cancellation, you may pause your subscription for 1, 2, or 3 months. During the pause period, your training data and account remain intact. Your subscription will automatically resume at your prior rate after the pause period ends.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws. You agree not to:

• Use the Service for any illegal activity
• Attempt to gain unauthorized access to other users' accounts or our systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service
• Upload or transmit malicious code, viruses, or harmful content
• Impersonate another person or entity
• Use the Service to harass, abuse, or threaten other users
• Post false, misleading, or fraudulent content on community features
• Resell, sublicense, or commercially redistribute the Service or any content therein

5. Community Features

ZeroedIQ includes community features such as leaderboards, activity feeds, and group sessions. When using these features:

• You are responsible for any content you choose to make public
• You agree not to post offensive, harmful, or inappropriate content
• We reserve the right to remove any community content that violates these Terms
• We reserve the right to restrict or revoke access to community features for any user who violates these Terms

6. Intellectual Property

6.1 Our Property

The Service, including its design, code, features, target designs (T-100, T-200), algorithms, graphics, logos, trademarks, and all associated intellectual property, is owned by Signet Ventures LLC and protected by United States and international intellectual property laws.

6.2 Your Data

You retain ownership of your training data, session results, and any content you create within the Service. By using community features, you grant us a non-exclusive, royalty-free license to display your public content within the Service (e.g., leaderboard entries, public session results).

6.3 Feedback

Any feedback, suggestions, or ideas you submit regarding the Service become our property and may be used without compensation or attribution.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Shot detection, hit detection, or scoring will be perfectly accurate in all conditions
• AI coaching recommendations will be correct or appropriate for your specific situation
• The Service will meet your specific requirements or expectations
• Results obtained from the Service will be accurate or reliable for competitive scoring purposes

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGNET VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Signet Ventures LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

You may terminate your account at any time by contacting us at david@zeroediq.com or through the account settings in the app.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Mecklenburg County, North Carolina. You consent to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Signet Ventures LLC regarding the Service and supersede all prior agreements and understandings.
